FAYN LTD — TERMS OF SERVICE

Effective date: 1 September 2026. Version 2.1. One agreement covering all FAYN products and services: the Workshop, Covenant, the Guide, Feeds, the Free Server, the fayn.io website, and Architex client work. This document replaces all earlier versions.

These Terms of Service are a legally binding agreement between you and FAYN LTD, a company incorporated in England and Wales (“FAYN”, “we”, “us”). They apply whenever you use any FAYN service, and they are the terms you accept when you purchase through our checkout links (including Whop and Stripe). Our registered company details appear at the end of this document.

The document has two parts. PART A — MEMBER TERMS covers our education products and community: the Workshop, Covenant, the Guide, Feeds and Signals, Bots, the Free Server, and all market analysis. PART B — WEBSITE & ARCHITEX covers use of fayn.io and Architex client services. Both parts apply to you; where only one part is relevant to what you bought, that part governs the purchase.

PLEASE READ CAREFULLY — Part A contains important risk disclosures about trading and automated systems, limits on our liability, and how disputes are resolved.

PART A — MEMBER TERMS

The sections below govern all FAYN education, community, Feed, Bot, Workshop, Guide and analysis services, free or paid.

1. DEFINITIONS

“Services” means everything FAYN provides, free or paid, including the Community, Educational Materials, Feeds, Bot-related content, the Workshop, mentorship, market analysis, and any website, server, channel, or account operated by or for FAYN.

“Platforms” means third-party services through which we operate or deliver Services, including without limitation Discord, Telegram, Instagram, YouTube, X, Whop, Stripe, TradingView, cryptocurrency exchanges, brokers, hosting providers, and cloud services.

“Educational Materials” means all courses, videos, guides, walkthroughs, code, templates, strategies, backtests, analyses, predictions, commentary, messages, voice notes, files, and other content we make available.

“Bot” or “Automated System” means any algorithm, script, strategy, indicator, model, or software that generates trading ideas or executes trades automatically, whether created by FAYN (for example Maliketh or Songbird), created by you following our teaching, or created by anyone else.

“Feed” means any stream of outputs generated by a Bot or a person — including Signals — that we publish so that Members can observe, study, evaluate, criticise and help improve it. The Songbird Feed is a Feed.

“Signal” means any trade idea, alert, entry/exit level, market observation, forecast, or hypothetical scenario that appears in a Feed or elsewhere in the Services. A Signal is an educational data point, not a recommendation.

“Backtest” means a simulation of how a strategy would have performed on historical data. Backtests are hypothetical by definition.

“Community Contribution” means anything you post, upload, share, or submit to the Services, including strategies, code, ideas, feedback, and messages.

“Free Services” means any part of the Services available without payment, including public Discord servers, Telegram channels and social media content. “Paid Services” means any part requiring payment, including the Workshop, Covenant membership, Feed access, mentorships and premium content.

“Consumer” and “Business User” have the meanings given in Section 22.

2. WHO MAY USE THE SERVICES

You must be at least 18 years old (or the age of legal majority where you live, if higher) and legally able to enter into a binding contract.

You are responsible for ensuring that your use of the Services, and any trading you choose to do, is lawful where you live. Some countries restrict or prohibit cryptocurrency trading, leveraged trading, or the receipt of trading-related content. We do not target, solicit, or make any offer to residents of any jurisdiction where doing so would be unlawful, and nothing in the Services should be read as such an offer.

You may not use the Services if you are located in, or a resident of, a country or territory subject to comprehensive sanctions by the United Kingdom, the European Union, or the United States, or if you appear on any UK, EU or US sanctions or denied-persons list.

United States persons: FAYN is not registered with the U.S. Securities and Exchange Commission, the Commodity Futures Trading Commission, the National Futures Association, or any U.S. state regulator, and does not act as an investment adviser, commodity trading advisor, broker, or dealer. Our content is general educational content, not individualised advice, and is not tailored to your circumstances.

You may not use the Services on behalf of, or for the benefit of, anyone who is prohibited from using them.

3. WHAT FAYN IS — AND IS NOT

FAYN is an education and community business. We teach people how to research markets, design and test trading strategies, backtest efficiently, build and configure Automated Systems, and reason about risk. We also publish our own analysis, opinions, forecasts, and Feeds so that Members can learn from them and help improve them collaboratively.

FAYN IS NOT A FINANCIAL ADVISER, INVESTMENT ADVISER, BROKER, DEALER, EXCHANGE, FUND, PORTFOLIO MANAGER, OR SIGNAL-FOR-EXECUTION SERVICE. FAYN LTD IS NOT AUTHORISED OR REGULATED BY THE UK FINANCIAL CONDUCT AUTHORITY OR BY ANY OTHER FINANCIAL REGULATOR IN ANY COUNTRY. NOTHING WE PUBLISH IS A PERSONAL RECOMMENDATION, INDIVIDUALISED ADVICE, OR AN INVITATION OR INDUCEMENT TO BUY, SELL, OR HOLD ANY ASSET.

Every Signal, Feed, Backtest, forecast, prediction, opinion, and piece of analysis is provided solely for educational and informational purposes: to demonstrate a method, show how a system behaves, or invite discussion. Whether you act on anything you see is entirely your own decision, made independently, at your own risk.

We do not know your financial situation, objectives, experience, or risk tolerance, and we do not take them into account. If you are unsure whether trading is appropriate for you, obtain advice from a professional who is authorised to advise you in your jurisdiction.

4. RISK DISCLOSURE — READ CAREFULLY

TRADING AND INVESTING — INCLUDING CRYPTOCURRENCIES, FOREIGN EXCHANGE, COMMODITIES, INDICES, STOCKS, AND DERIVATIVES — INVOLVES SUBSTANTIAL RISK OF LOSS, INCLUDING THE LOSS OF ALL CAPITAL DEPLOYED AND, WHERE LEVERAGE OR MARGIN IS USED, LOSSES EXCEEDING YOUR INITIAL DEPOSIT. IT IS NOT SUITABLE FOR EVERYONE. YOU SHOULD NEVER TRADE WITH MONEY YOU CANNOT AFFORD TO LOSE.

Cryptoassets are high-risk and, in many countries including the United Kingdom, largely unregulated; you are unlikely to have access to compensation schemes or ombudsman services if something goes wrong. Prices can be extremely volatile and can fall to zero.

Markets can move rapidly; liquidity can disappear; exchanges and brokers can fail, be hacked, halt trading, or impose restrictions; data can be delayed or wrong; the internet and power can fail. Any of these can cause losses that no strategy can prevent.

Past performance is not a reliable indicator of future results. Any result we show — whether a Backtest, a live run, a screenshot, a statistic, or a statement about a Member — describes a specific system under specific conditions during a specific period and says nothing about what will happen to you.

You accept full and sole responsibility for every trading, investment and financial decision you make, and for all resulting gains, losses, taxes, fees and consequences.

5. HYPOTHETICAL, SIMULATED AND BACKTESTED PERFORMANCE

Wherever we present results labelled as a backtest, simulation, model, or hypothetical, the following applies:

HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN INHERENT LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. BECAUSE THE TRADES HAVE NOT ACTUALLY BEEN EXECUTED, THE RESULTS MAY HAVE UNDER- OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY, SLIPPAGE, SPREAD, FEES, FUNDING, AND LATENCY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN.

Backtests can be affected by overfitting, look-ahead bias, survivorship bias, data errors, unrealistic fill assumptions, and parameter selection. A strategy that performs well historically may perform poorly, or catastrophically, in live markets.

Where we present results from live trading, those results reflect our own account(s), capital, timing, fees, and execution, which will differ from yours. Live results are examples, not promises, and are not representative of what any Member has achieved or will achieve. In particular, the Songbird figures shown on our website are an illustration: Songbird generated its signals live, but the balance figures are calculated by applying each signal to a fixed illustrative stake, and do not include slippage, exchange fees, funding or funding costs, which would reduce real results. The stated multiple describes signal outcomes, not a funded account statement.

We aim to label every result clearly as backtested, simulated, or live. If a label is missing or unclear, you must assume the result is hypothetical.

6. FEEDS AND SIGNALS

Feeds (including the Songbird Feed) show what a Bot or analyst is doing or thinking so that Members can study the logic, spot weaknesses, and contribute improvements. A Feed is a learning tool and a collaboration tool. It is not a service that tells you what to trade.

Feeds may be delayed, incomplete, paused, changed, or discontinued at any time without notice. A Feed may stop being profitable, may generate losing outputs for extended periods, and may contain errors. We do not guarantee the timeliness, accuracy, completeness, or performance of any Feed.

Nothing in a Feed is a personal recommendation. If you choose to mirror, copy, or act on any Feed output, you do so entirely at your own risk, having made your own independent assessment. We strongly discourage acting on Feed outputs without understanding the system that produced them.

Feeds are provided for your personal educational use. You may not resell, redistribute, rebroadcast, scrape, automate the capture of, or build a competing service on any Feed.

7. BOTS AND AUTOMATED SYSTEMS

We teach how Automated Systems are designed, tested, and configured. We may share code, templates, indicators, parameters, and examples (including code for our own Bots). Anything you build, run, or deploy — including anything built from our teaching or code — is YOUR system, operated under YOUR control and at YOUR sole risk.

We do not hold, control, custody, or have access to your funds, exchange accounts, broker accounts, wallets, private keys, or API keys, and we never ask for them. You are solely responsible for securing your accounts and keys, for restricting API permissions (for example, disabling withdrawal permissions), and for all activity conducted through your accounts.

Automated Systems can fail. Bugs, misconfiguration, incorrect parameters, exchange or broker outages, API changes, rate limits, connectivity loss, data feed errors, unexpected market conditions (including gaps, flash crashes, halts and low liquidity), and hosting failures can cause a Bot to behave unexpectedly, to trade when it should not, to fail to trade when it should, or to trade at prices far from those intended. You accept these risks in full.

Before running any Automated System with real money you should test it thoroughly on paper or with minimal capital, understand every rule it follows, set position-size and loss limits, and monitor it. Do not run an Automated System you do not understand.

Any code, template, or software we provide is provided “AS IS” and “AS AVAILABLE”, for educational use, without warranty of any kind, whether express or implied, including (to the extent permitted by law) warranties of merchantability, fitness for a particular purpose, accuracy, performance, or non-infringement. We do not warrant that any code is error-free, secure, compatible with your environment, or will produce any particular result.

You are responsible for complying with the terms of service of any exchange, broker, data provider, or platform you connect an Automated System to, and for any tax, reporting, or regulatory obligation arising from your trading.

8. MARKET ANALYSIS, PREDICTIONS AND OPINIONS

We publish analysis, forecasts, and predictions on markets such as Bitcoin, gold, the Nasdaq and others, and our opinions on how news and events may affect prices. These are opinions, formed in good faith at a moment in time, and may be wrong. Markets frequently move contrary to any forecast.

We may change our views without notice and are under no obligation to update or correct any prior statement. You must not rely on any analysis or prediction as a basis for a decision.

9. AI-ASSISTED CONTENT

Some Educational Materials, code, analysis, and Feed outputs are produced with the help of artificial-intelligence and machine-learning tools, or are produced entirely by Automated Systems. Such outputs may contain errors, omissions, hallucinated facts, outdated information, or flawed logic, and may not have been reviewed by a human before publication.

You must independently verify anything produced with AI assistance before relying on it, and you accept that FAYN is not responsible for any decision you make based on AI-assisted or automated output.

10. COMMUNITY CONTRIBUTIONS AND COLLABORATIVE IMPROVEMENT

A core purpose of the Community is collaborative improvement of strategies and Bots. When you post a Community Contribution you grant FAYN a worldwide, perpetual, irrevocable, royalty-free, sublicensable licence to use, copy, adapt, modify, incorporate, publish, and build upon it for any purpose connected with the Services (including improving our Bots, Feeds and Educational Materials), without attribution or compensation. You retain ownership of your original Contribution.

You confirm that you have the right to grant this licence and that your Contribution does not infringe anyone else’s rights or breach any confidentiality obligation.

Contributions are not confidential. Do not share anything you wish to keep private or that you would be harmed by others seeing. Do not share account credentials, API keys, or private keys under any circumstances.

Contributions by other Members are their opinions, not ours. We do not verify, endorse, or take responsibility for them. Treat them with the same caution as anything else in the Services.

11. NO RELIANCE, INDEPENDENCE OF JUDGEMENT

You acknowledge and agree that you are not relying on any Content in making any decision; that no advisory, fiduciary, or professional relationship arises between you and FAYN or its staff; and that every decision you make is your own, made with independent judgement and, where appropriate, professional advice.

Nothing in this Section excludes any duty of care that cannot lawfully be excluded.

12. IMPERSONATION, SCAMS AND OFFICIAL COMMUNICATION — CRITICAL

Impersonation scams are common in trading and crypto communities on every platform. Scammers use fake staff accounts, cloned servers, fake support bots, phishing links, look-alike usernames (with added punctuation, symbols, or copied profile photos), requests to move to another platform, and messages later deleted to hide evidence.

FAYN STAFF WILL NEVER: send you a friend request; message you first; send you a payment request or payment link; send you an invite or redirect link by direct message; ask you to move to another platform; or ask for passwords, seed phrases, private keys, API keys, or any sensitive information.

Official communication happens only (a) publicly inside official FAYN servers and channels, or (b) as a reply to a direct message that YOU initiated. All support requests must be made inside the official server.

The only official FAYN administrator handles, on Discord and Instagram only, are: @sniperzayn, @thefaysalchad, and @spunjystocks. Any account with a similar name, added characters, or a copied picture — on any platform — is NOT official, however convincing it appears. We may update this list by notice in the official server.

Verifying identities is your responsibility. To the fullest extent permitted by law, FAYN is not liable for any loss, account compromise, data loss, distress or damage arising from impersonation, phishing, or third-party fraud.

13. PAYMENTS, SUBSCRIPTIONS, DIGITAL ACCESS AND REFUNDS

Paid Services are sold through third-party payment platforms (currently Whop and Stripe), whose own terms also apply to the transaction. Prices are as displayed at checkout and may change for future purchases. You are responsible for any taxes, currency conversion, or bank charges.

Subscriptions renew automatically at the stated interval until cancelled. You may cancel at any time through the payment platform; cancellation takes effect at the end of the current paid period and no pro-rata refund is due for the remainder of that period, except as required by law.

Immediate digital access. Paid Services are digital content and services delivered immediately on purchase. BY PURCHASING, YOU EXPRESSLY REQUEST AND CONSENT TO IMMEDIATE ACCESS AND PERFORMANCE, AND YOU ACKNOWLEDGE THAT, ONCE ACCESS HAS BEGUN, YOU LOSE ANY STATUTORY RIGHT TO CANCEL THAT WOULD OTHERWISE APPLY (for example under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 or equivalent EU rules).

Subject to the paragraph above and to any non-excludable statutory right you have as a consumer, all sales are final and non-refundable. Where a refund is legally required (for example because digital content is faulty and cannot be fixed), we will provide it within 14 days using your original payment method.

Chargebacks. Raising a payment dispute or chargeback without first contacting us inside the official server to resolve the issue is a material breach of these Terms. We may suspend or terminate access while a dispute is open and may recover reasonable costs of defending an unjustified chargeback.

Free Services carry no fee and no promise of continuation; we may change, limit, suspend or withdraw them at any time.

14. ACCEPTABLE USE

You must not: (a) post illegal, defamatory, threatening, harassing, hateful, sexually explicit, or otherwise offensive content; (b) spread misinformation, market manipulation, or coordinated fear/hype; (c) promote, advertise, or solicit for competing or unauthorised services, or solicit funds from Members; (d) share, leak, copy, screen-record, scrape, or redistribute Paid or private Content, or share account access; (e) reverse engineer, decompile, or attempt to extract the logic of our Bots beyond what we expressly teach; (f) use automated tools to harvest data or Members’ details; (g) impersonate FAYN, its staff, or any Member; (h) attempt to bypass any security, access control, rate limit, or payment; (i) use the Services to violate any law, sanction, or third-party right; or (j) do anything that damages FAYN’s reputation, systems, or community.

We may remove content, mute, suspend, or permanently remove any Member who breaches this Section, at our discretion and without refund, subject to your non-excludable rights.

15. INTELLECTUAL PROPERTY AND LICENCE TO YOU

All Educational Materials, Bots, Feeds, code, strategies, brands (including FAYN, COVENANT, ARCHITEX, MALIKETH and SONGBIRD), logos, designs, and other content are owned by FAYN LTD or its licensors and protected by copyright, trade-mark, database, and other laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Content for your own personal, non-commercial education while you are a Member in good standing. Code we provide for teaching may be used to build and run your own personal systems; it may not be sold, sublicensed, redistributed, or used to provide services to others without our written permission.

All other rights are reserved. Unauthorised copying, redistribution, resale, leaking, or commercial exploitation of Content is prohibited and may result in termination and legal action.

16. THIRD-PARTY PLATFORMS AND LINKS

The Services depend on Platforms we do not control. We are not responsible for Platform outages, bans, data loss, message deletion, policy changes, security breaches, or moderation decisions, or for the acts, content, or terms of any third party (including exchanges and brokers). Links to third-party sites are provided for convenience and are not endorsements.

17. DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND SUBJECT TO SECTION 22, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR CURRENT, OR THAT ANY CONTENT, BOT, FEED, OR STRATEGY WILL BE PROFITABLE OR ACHIEVE ANY RESULT.

For Consumers: our Paid Services will be provided with reasonable care and skill, and digital content will be as described, of satisfactory quality and fit for purpose, as required by the UK Consumer Rights Act 2015 or equivalent local law. Nothing above limits those rights.

18. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited under applicable law, including your non-excludable consumer rights.

Subject to that, TO THE FULLEST EXTENT PERMITTED BY LAW, FAYN LTD AND ITS DIRECTORS, OFFICERS, STAFF, CONTRACTORS, MODERATORS AND AGENTS SHALL NOT BE LIABLE FOR: ANY TRADING OR INVESTMENT LOSS; LOSS OF PROFIT, REVENUE, OPPORTUNITY, GOODWILL OR DATA; LOSSES ARISING FROM THE OPERATION OR FAILURE OF ANY AUTOMATED SYSTEM, FEED OR SIGNAL; LOSSES CAUSED BY THIRD-PARTY PLATFORMS, EXCHANGES, BROKERS, OR IMPERSONATORS; OR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL LOSS, HOWEVER ARISING, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, EVEN IF FORESEEABLE.

For Business Users, our total aggregate liability arising out of or in connection with the Services in any 12-month period shall not exceed the total fees you paid to FAYN in that period (or £100 if you paid nothing).

For Consumers, our liability for losses you suffer as a result of our breaking these Terms is limited to losses that were a foreseeable result of the breach; we are not liable for losses that were not foreseeable, for losses caused by your own trading decisions, or for business losses.

19. INDEMNITY

To the extent permitted by law, you agree to indemnify and hold harmless FAYN LTD and its directors, officers, staff, contractors and agents from and against all claims, liabilities, damages, losses, chargebacks, and costs (including reasonable legal fees) arising from: your breach of these Terms; your misuse of the Services or any Content; your Community Contributions; your trading or use of any Automated System; or your violation of any law or third-party right. For Consumers, this indemnity applies only to losses caused by your unlawful acts or your breach of these Terms.

20. SUSPENSION AND TERMINATION

We may suspend or terminate your access to all or part of the Services at any time if you breach these Terms, if we reasonably suspect fraud, abuse, or impersonation, if required by law or a Platform, or if we discontinue a Service. Where we terminate a Paid Service for reasons other than your breach, we will refund any pre-paid fees for the unexpired period.

You may stop using the Services at any time and may cancel subscriptions as described in Section 13.

On termination your licence to use Content ends immediately; you must delete any downloaded Paid Content; and Sections 4–12, 15, and 17–24 survive.

21. INTERNATIONAL USE

FAYN operates from the United Kingdom. The Services may be accessed worldwide, but we make no representation that they are appropriate or lawful in any particular location. If you access the Services from outside the UK you do so on your own initiative and are responsible for compliance with local law, including any restrictions on trading, cryptoassets, or the receipt of investment-related content.

Where the law of your country grants you mandatory protections that these Terms cannot lawfully override (for example, certain consumer rights in the European Economic Area, Australia, or individual U.S. states), those protections apply to you and prevail over any inconsistent term.

22. CONSUMERS AND BUSINESS USERS

A “Consumer” is an individual using the Services for purposes wholly or mainly outside their trade, business, craft, or profession. A “Business User” is anyone else, including sole traders and companies using the Services for commercial purposes.

Nothing in these Terms affects a Consumer’s statutory rights under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or equivalent legislation where they live. If any term is found to be unfair or unenforceable against a Consumer, it will apply to the maximum extent permitted and the remainder of these Terms will continue in force.

23. GOVERNING LAW, DISPUTES AND CLASS-ACTION WAIVER

These Terms, and any dispute or claim arising out of or in connection with them or the Services (including non-contractual disputes), are governed by the laws of England and Wales.

Talk to us first. Before starting any formal proceeding you agree to contact us inside the official server or at the contact address in Section 26 and to try in good faith for 30 days to resolve the dispute informally.

Business Users agree that the courts of England and Wales have exclusive jurisdiction. Consumers may bring proceedings in England and Wales or, where the law requires, in the courts of the country where they live; if you live in Scotland or Northern Ireland you may bring proceedings there.

TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. This paragraph does not apply where such waivers are prohibited by the law that mandatorily applies to you.

Any claim must be brought within one year of the event giving rise to it, unless a longer period is required by law.

24. GENERAL

Changes. We may update these Terms from time to time. Material changes will be announced in the official server and/or on our website, and the updated Terms take effect on the date stated. Continuing to use the Services after that date means you accept the updated Terms. If you do not accept them, you must stop using the Services and may cancel any subscription.

Entire agreement. These Terms, together with our Privacy Policy and any specific terms presented at purchase, form the entire agreement between you and FAYN regarding the Services and supersede all prior versions.

Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not transfer your rights under these Terms. We may assign or transfer our rights to a successor or affiliate.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including Platform outages, internet failures, cyber-attacks, regulatory action, or market disruption.

No third-party rights. Except for the persons indemnified in Section 19, no third party has any right to enforce these Terms.

Language. These Terms are written in English. Any translation is for convenience only; the English version prevails.

25. SURVIVAL

Provisions concerning risk, disclaimers, hypothetical performance, Bots, impersonation, intellectual property, liability, indemnity, governing law and dispute resolution survive termination or expiry of these Terms for any reason.

PART B — WEBSITE & ARCHITEX

The sections below govern the fayn.io website itself and Architex client services. Where Part B is silent, Part A applies. Section numbering restarts for Part B.

1. USING THE SITE

You may use the Site for lawful, personal purposes. You must not attempt to gain unauthorised access to any part of the Site, interfere with its operation, scrape or harvest its content, introduce malicious code, or use it to violate any law or third-party right.

The Site is provided “as is”. We may change, suspend, or withdraw any part of it at any time without notice. We aim for the Site to be available and accurate but do not guarantee uninterrupted access or that all content is complete, current, or error-free.

All Site content, design, code, animation, wordmarks (FAYN, COVENANT, ARCHITEX, MALIKETH, SONGBIRD), and imagery are owned by FAYN LTD and may not be copied, reproduced, or used without written permission. Third-party trade marks (for example Vimeo, Whop, Discord, Google) belong to their owners.

The Site contains links to third-party services (Whop, Discord, Vimeo, Google, Instagram). We do not control those services and are not responsible for their content, availability, or terms.

2. RESULTS SHOWN ON THIS SITE

Figures on this Site — including Maliketh’s backtest (labelled as a backtest, 2020–2025), Songbird’s live run (labelled as live), win rates, multiples, profit figures, and the interactive “manual vs automated” simulation — are presented for education and illustration only. The simulation applies disclosed assumptions to a historical dataset and is a model of behaviour, not a record of any account.

HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE INHERENT LIMITATIONS AND DO NOT REPRESENT ACTUAL TRADING; THEY ARE PREPARED WITH THE BENEFIT OF HINDSIGHT AND MAY NOT REFLECT LIQUIDITY, SLIPPAGE, FEES, OR REAL-WORLD EXECUTION. Nothing on this Site is financial, investment, legal, or tax advice, or a recommendation to buy, sell or hold any asset. FAYN LTD is not authorised or regulated by the Financial Conduct Authority. See the Member Terms, Sections 3–8.

3. THE WORKSHOP (SEMINAR / WEBINAR)

The Workshop is a recorded (and occasionally live) educational session teaching how to research, design, backtest, and automate trading strategies without prior coding experience. Access is sold through Whop; Whop’s checkout terms and payment processing apply alongside these Site Terms.

Scheduled showings (currently Sundays, Tuesdays and Thursdays at 4pm UK time) are indicative and may change. Where a session is recorded, ticket holders receive access to the recording for the access period stated at purchase. We may re-record, edit, update, or replace Workshop content over time.

The Workshop is digital content delivered immediately. By purchasing you expressly consent to immediate access and acknowledge that your statutory right to cancel is lost once access begins, except where such rights cannot lawfully be excluded. Subject to your non-excludable rights, tickets are non-refundable.

Workshop content is licensed to you for personal, non-commercial educational use only. You may not record, screen-capture, share, resell, or redistribute it, or share your access with others.

The Workshop describes how we built our own systems and how you can learn to build yours. It does not promise that you will build a profitable system, earn any amount, or achieve any result. Outcomes depend on your own effort, skill, judgement, capital, risk management, and market conditions, none of which we control.

4. COVENANT

Covenant is FAYN’s paid education and community membership: access to the private community, Educational Materials, Bot-building teaching, Feeds (which may include the Songbird Feed), and market analysis. It is sold through Whop as a subscription that renews automatically until cancelled.

Covenant is governed in full by the Member Terms, including the Risk Disclosure, Hypothetical Performance, Feeds and Signals, Bots and Automated Systems, Community Contributions, Impersonation, Payments and Refunds, and Acceptable Use sections. Please read them before joining.

Membership benefits may evolve. We may add, change, pause, or retire specific Feeds, Bots, channels, or materials as the community and our systems develop; no specific Feed or Bot is guaranteed to remain available or to remain profitable.

5. THE FREE SERVER AND FREE CONTENT

Our free Discord server and free social content are Free Services under the Member Terms. No payment is required for the Member Terms to apply to you, and by joining or following you accept them.

Free content — including any analysis, Feed excerpts, or Bot outputs shared there — is educational and opinion-based, may be delayed or incomplete, and may be changed or withdrawn at any time. The Impersonation and Acceptable Use sections of the Member Terms apply with full force in the Free Server.

6. FREE ADVICE (ARCHITEX)

“Free Advice” is a free, general, informal commentary service for people considering a website project. Submitting the Free Advice form does not create a contract, an engagement, or any obligation on FAYN. We read every submission, but a response is not guaranteed, and any response we give is general observation, not a professional consultancy deliverable, audit, or warranty of any kind.

By submitting, you confirm that any website, brand, or material you refer us to is yours or that you have the right to seek commentary on it. We may decline any request at our discretion.

7. ARCHITEX — CLIENT SERVICES TERMS

Architex is FAYN LTD’s web design and build service. Submitting a Build Application is an enquiry only; it is not an order and no payment is due. A binding engagement arises only when we issue a written proposal or quotation and you accept it (including by paying any deposit). That proposal, together with this Section 7 and the General Terms in Section 9, forms the contract for the project (the “Project Agreement”). If a signed proposal conflicts with this Section, the proposal prevails.

Scope. The proposal defines the deliverables, number of pages or sections, revision rounds, integrations, and timeline. Work outside that scope, additional revision rounds, or changes to the agreed brief after approval of a stage are chargeable at our then-current rates and may extend the timeline. We will tell you before incurring additional charges.

Fees and payment. Fees are as stated in the proposal, exclusive of VAT and third-party costs (domains, hosting, licences, stock assets, premium fonts, paid plugins, payment-processor fees) unless stated otherwise. Deposits are non-refundable once work has commenced. Milestone and final payments are due as scheduled in the proposal; we may pause work while any invoice is overdue and may charge statutory interest on late payments.

Your responsibilities. You will provide, in a timely way, the content, brand assets, access, feedback, and approvals we need. Delays in providing them extend the timeline accordingly. You warrant that everything you supply is yours to use and does not infringe anyone’s rights, and you indemnify us against claims arising from materials you supply.

Timelines. Delivery dates are good-faith estimates dependent on timely client input and third-party services; they are not guaranteed and time is not of the essence unless the proposal says so.

Intellectual property. Until final payment in full, all work product remains our property. On receipt of final payment, we assign to you the copyright in the final, bespoke deliverables created specifically for you. We retain ownership of our pre-existing materials, frameworks, components, animation systems, tooling, and know-how, and grant you a perpetual, non-exclusive licence to use them as embedded in your deliverables. Third-party assets remain subject to their own licences.

Portfolio. Unless you tell us in writing before the project starts that the work is confidential, we may display the finished work, your name, and your logo in our portfolio and marketing.

No performance guarantee. We design sites intended to convert, and we bring our full skill to that aim, but we do not and cannot guarantee any level of traffic, conversions, sales, rankings, revenue, or business outcome. Those depend on your market, offer, pricing, marketing, and factors beyond our control.

Third-party services. Hosting, domains, payment processing, forms, analytics, video, fonts and similar are provided by third parties under their own terms. We are not responsible for their availability, changes, pricing, or failures. Ongoing hosting, maintenance, or support is provided only where the proposal includes it.

Content and compliance. You are responsible for the legality and accuracy of your own content, offers, claims, pricing, and for your own compliance obligations (for example consumer law, sector regulation, privacy, cookies, accessibility) in the markets you sell into. We may build in standard privacy and legal pages at your request, but they are templates for your review, not legal advice.

Cancellation. You may cancel a project at any time in writing. You remain liable for fees for work completed and costs incurred to the date of cancellation, and deposits are not refundable. We may terminate the Project Agreement if invoices remain unpaid for 14 days after a reminder, or if you materially breach it.

Warranty and liability for Architex work. We will perform the services with reasonable care and skill. We will correct defects in our work reported within 14 days of delivery at no charge. Beyond that, to the fullest extent permitted by law, our total liability arising out of or in connection with any project is limited to the fees you have paid for that project, and we are not liable for loss of profit, revenue, business, data, or any indirect or consequential loss. Nothing limits liability for death or personal injury caused by negligence, fraud, or anything that cannot lawfully be excluded. Business clients are not consumers and the consumer protections in Section 9 do not apply to them.

8. FEEDS, BOTS AND MARKET ANALYSIS ON THIS SITE

Any Feed, Bot output, analysis, or prediction displayed on or reached through this Site is subject to the Member Terms in full. It is educational, may be delayed or wrong, is not a personal recommendation, and must not be relied upon. If you choose to act on any of it you do so at your own risk.

9. GENERAL TERMS

Privacy. Our Privacy Policy (/privacy) explains what personal data we collect through the Site (chiefly the Architex and Free Advice forms) and how we use it.

Consumers. If you are a consumer, nothing in these Site Terms affects your statutory rights, including under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Any term found unfair or unenforceable against a consumer applies only to the extent permitted by law.

Liability for the Site itself. To the fullest extent permitted by law we are not liable for any loss arising from use of, or inability to use, the Site, or from reliance on anything displayed on it. Nothing excludes liability for death or personal injury caused by our negligence, fraud, or anything that cannot lawfully be excluded.

Governing law and disputes. These Site Terms and any dispute connected with them are governed by the laws of England and Wales. Business clients agree to the exclusive jurisdiction of the courts of England and Wales. Consumers may also bring proceedings in the courts of the UK nation, or where mandatory law requires, the country, in which they live. Please contact us first and allow 30 days to resolve any dispute informally.

Changes. We may update these Site Terms; the date at the top shows the current version. Continued use after a change means you accept it.

Severability, waiver, assignment, force majeure, and language are as set out in Section 24 of the Member Terms and apply equally here.
